Candidate Terms & Conditions

You must accept these Candidate Terms & Conditions ("Terms ") in order to participate in Neutals, Inc. ("Neutals ", "we ", "us ", or "our ") screenings, assessments, or interviews (collectively, "Interviews ") and to access and use the Neutals interview platform and services (together, the "Neutals Zara Platform "). By accessing or using the Neutals Zara Platform, you confirm that you have read, understood, and agree to be bound by these Terms.

1. Right to Use

Subject to your compliance with these Terms, Neutals hereby grants you a non-exclusive, non-transferable, non-sublicensable, revocable, limited right to access and use the Neutals Zara Platform in your personal capacity. Neutals reserves any and all rights not expressly granted to you pursuant to these Terms. The limited rights granted to you to access and use the Neutals Zara Platform do not constitute the sale of or license to any software program or other intellectual property.

2. Eligibility and Age Requirement

You must be at least eighteen (18) years of age to access or use the Neutals Platform. By accepting these Terms, you represent and warrant that you meet this age requirement. If you do not meet this requirement, you may not access or use the Neutals Platform.

3. Applications on Behalf of a Company or Organization

If you are accessing or using the Neutals Platform on behalf of a company, organization, employer, or other legal entity ("Organization "), you represent and warrant that:

1. You have the full legal right, power, and authority to bind that Organization to these Terms;
2. You are acting as an authorized representative of the Organization; and
3. Your acceptance of these Terms constitutes the agreement of both you and the Organization.

In such case, references to "you" in these Terms shall apply equally to you and the Organization. If you do not have such authority, you may not accept these Terms on behalf of the Organization, and Neutals shall not be liable for any actions taken in excess of your authority.

4. Account Registration and User IDs

In order to use the Neutals Platform, you may be required to create an account, select a password, and provide us with certain registration information, such as your name and email address. You agree to:

1. Provide accurate, complete, and updated registration information;
2. Not select a username or account identifier that you do not have the right to use, or use another individual's identity with the intent to impersonate that individual;
3. Not share your account credentials or transfer your account to any other individual; and
4. Immediately notify us if you suspect your account or the security of the Neutals Platform has been compromised.

You are solely responsible for maintaining the security of your account credentials.

5. Restrictions on Use

You shall not use the Neutals Platform in a manner that:

• Is dangerous, harmful, fraudulent, deceptive, threatening, harassing, defamatory, or obscene;
• Attempts to obtain the password, account information, or security credentials of any other user;
• Sends spam, runs automated scripts, or otherwise interferes with the proper operation of the Neutals Platform;
• Violates any applicable law or regulation;
• Uses or attempts to use the Neutals Platform to directly compete with Neutals;
• Crawls, scrapes, or spiders any page, data, or portion of the Neutals Platform; or
• Decompiles, reverse engineers, or otherwise attempts to obtain the source code or underlying ideas or information relating to the Neutals Platform.

6. Interview Conduct

1. You agree to keep all information, questions, answers, and materials displayed, provided, created, or discussed during the Interview (the "Interview Content ") strictly confidential. Except as permitted by the Neutals interviewer or as otherwise permitted in your interview instructions, you shall not transfer, copy, or remove Interview Content from the Neutals Platform, including by means of copying or screenshotting the Interview environment.
2. All answers or responses that you provide during the Interview will be your original work product, and you will answer all interview questions without any third-party assistance, except where explicitly permitted by your interviewer or the interview instructions. You agree not to improperly disclose any confidential information of a third party, including of a current, former, or prospective employer.
3. You agree to promptly inform Neutals if you have previously encountered any interview content being presented to you.

7. Privacy Policy

By using or accessing the Neutals Platform, you acknowledge and consent to the collection, use, and sharing of your personal information as described in Neutals's Privacy Policy, available at https://www.neutals.com/privacy-policy. Neutals's Privacy Policy is incorporated into these Terms by reference. Please review it carefully before using the Neutals Platform.

8. Interview Results

You give consent to Neutals to, if applicable: (a) record your answers, audio, video, and platform interactions during the Interview; (b) share the video recording of the Interview and your Interview answers, scores, and results (collectively, the "Interview Results ") in accordance with the Privacy Policy; and (c) use the Interview Results internally for improving and developing Neutals's products and services. Neutals shall own all rights, title, and interest in the Interview, the Interview Content, the Interview Results, and any works derived therefrom, including all copyright, and you hereby assign, transfer, and convey to Neutals any and all rights you may have in the Interview Results. Neutals will not use any work product produced by you in the Interview Results except to perform its services, including for quality assurance purposes (e.g., to prevent and detect cheating).

9. Violations and Remedies

Failure to comply with these Terms may result in the immediate, temporary, or permanent withdrawal of your right to use the Neutals Platform. Neutals may also report any violation of these Terms to prospective employers. Neutals is not responsible for any decisions made by prospective employers in response to such a violation. Neutals reserves all other rights available at law or in equity.

10. Waivers and Release

You acknowledge and agree that Neutals makes no guarantee that any Interview, inclusive of any feedback provided to you, will result in an offer of employment or any other benefit. Neutals is not responsible for the acts of any prospective employer or any other third party with whom you have consented to the sharing of Interview Results. You hereby waive and release Neutals from any and all claims or liability relating to or arising from your participation in the Interview and any use by you or a third party of the Interview Results or Interview feedback.

11. Warranty Disclaimer

EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS, Neutals AND ITS LICENSORS, SUPPLIERS, PARTNERS, PARENT, SUBSIDIARIES, AND AFFILIATED ENTITIES (THE "Neutals PARTIES") MAKE NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, WITH REGARD TO THE Neutals PLATFORM OR ANY CONTENT OR MATERIALS ACCESSED THEREIN. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE Neutals PARTIES DISCLAIM ALL EXPRESS OR IMPLIED CONDITIONS, REPRESENTATIONS, AND WARRANTIES, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE Neutals PLATFORM IS PROVIDED "AS-IS" AND THE Neutals PARTIES DO NOT WARRANT THAT THE PROVISION AND OPERATION OF THE Neutals PLATFORM SHALL BE UNINTERRUPTED OR ERROR-FREE.

12. Limitation of Liability

TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (INCLUDING, WITHOUT LIMITATION, TORT, CONTRACT, STRICT LIABILITY, OR OTHERWISE) SHALL ANY OF THE Neutals PARTIES BE LIABLE TO YOU OR TO ANY OTHER PERSON FOR (A) ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING DAMAGES FOR LOST PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, LOSS OF GOODWILL, WORK STOPPAGE, ACCURACY OF RESULTS, OR COMPUTER FAILURE OR MALFUNCTION; OR (B) ANY AMOUNT, IN THE AGGREGATE, IN EXCESS OF ONE HUNDRED ($100) DOLLARS.

13. Governing Law and Dispute Resolution

These Terms are governed by and will be construed under the laws of the State of Delaware, without regard to its conflicts of laws provisions. Any dispute arising out of or relating to these Terms or the Neutals Platform will be finally settled by confidential arbitration in English, in accordance with the Streamlined Arbitration Rules and Procedures of Judicial Arbitration and Mediation Services, Inc. ("JAMS") then in effect. Notwithstanding the foregoing, each party retains the right to seek injunctive or other equitable relief from any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

14. Miscellaneous

1. Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.
2. No Waiver. The failure of either party to exercise any right herein shall not be deemed a waiver of any further rights hereunder.
3. Third-Party Websites. Neutals has no control over, and assumes no responsibility for, the content, accuracy, privacy policies, or practices of any third-party websites or services that you interact with through the Neutals Platform. You release and hold Neutals harmless from any liability arising from your use of any third-party website or service.
4. Modifications to Terms. Neutals may revise these Terms from time to time. If Neutals makes any material changes, as determined in its sole discretion, Neutals will provide you with notice via the Neutals Platform. Your continued use of the Neutals Platform after the effective date of any such revision constitutes your acceptance of the revised Terms.
5. Entire Agreement. These Terms, together with the Privacy Policy incorporated herein by reference, constitute the entire agreement between you and Neutals with respect to the Neutals Platform and supersede all prior agreements and understandings.
